Allstream Insiders Summary
Ovintiv Inc. has entered into a definitive agreement to acquire Logan Energy Corp. in an all-cash transaction valued at approximately $890 million, including expected net debt at closing. The companies announced the proposed transaction October 26, 2026.
Ovintiv said it would pay C$1.40 per Logan share. The company said the acquisition is expected to add approximately 266,000 net acres and approximately 20 MBOE/d of current production in the oil-rich Montney window, alongside oil-handling and natural-gas-processing infrastructure near its existing Montney operations.
The acquisition is proposed, not closed. Ovintiv and Logan expect closing early in the first quarter of 2027, subject to Logan shareholder, court and regulatory approvals and other customary closing conditions.

What the proposed deal would add in the Montney
Ovintiv said the Logan assets are located near its existing Montney operations and would expand its position in the oil-rich window of the play. The company reported current acquired-asset production of approximately 20 MBOE/d, consisting of about 7 Mbbls/d of oil and condensate, 70 MMcf/d of natural gas and 1 Mbbls/d of other natural-gas liquids.
Ovintiv also said the proposed transaction would add approximately 420 total net 10,000-foot-equivalent oil-well locations, including approximately 220 locations it classifies as premium-return locations and approximately 200 upside locations. Those inventory measures are company-reported estimates and do not establish a sanctioned drilling schedule, a well count to be drilled or a future production commitment.
The release says approximately 60,000 net acres with exposure to the Duvernay shale are also included. It does not identify individual drilling pads, rigs, completion providers, gathering expansions, capital budgets or well-by-well development timing.
Oil batteries and gas-processing interests are part of the asset package
Logan owns two new oil batteries in Simonette with combined capacity of 24 Mbbls/d, according to Ovintiv. Ovintiv said the first battery entered service during the third quarter of 2026, while the second is expected to enter service by the end of the first quarter of 2027.
The proposed acquisition also includes Logan’s 50% interest in a Simonette natural-gas processing facility with total capacity of 90 MMcf/d, and its 65% interest in a Pouce Coupe natural-gas processing facility with total capacity of 57 MMcf/d. The announcement describes these assets as expected to enhance Montney margins and provide future oil-growth optionality.
The companies did not announce new construction packages, equipment orders, engineering awards or contractor selections connected with those facilities. The reported second-battery in-service expectation is a forward-looking company statement, and the acquisition itself remains subject to closing.
What is excluded from the proposed acquisition
Before closing, Logan plans to spin out 100% of the shares of Logan Oil Corp. to Logan shareholders. Ovintiv said the new, wholly owned Logan subsidiary would hold selected Logan assets outside the Montney and Duvernay fairways.
That structure means the transaction announcement should not be read as a commitment to acquire every asset previously held by Logan Energy Corp. The release does not provide a full asset-by-asset allocation between the proposed acquisition and the planned spinout.
Allstream perspective: an upstream acquisition with identified infrastructure, but no new award
Allstream perspective: The announced transaction is an upstream consolidation with defined acreage, current production and existing oil-handling and gas-processing assets. The stated infrastructure ownership gives the deal more operating detail than a pure acreage acquisition, but the $890 million value is a proposed transaction value—not a new capital-project budget.
Ovintiv expects approximately $60 million of annual cost synergies, including capital, production-cost and overhead savings. Those are forward-looking company expectations, not realized savings or committed work scopes. The next decision-useful developments will be transaction closing, Ovintiv’s post-closing integration and capital plans, and any later announcements covering specific wells, facility modifications, processing work, compression, gathering or procurement activity.
